Terms of Service

1. Acceptance of Terms

By creating an account or using the Memba platform ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree, you may not use the Service. We may update these Terms from time to time — continued use after changes constitutes acceptance of the updated Terms.

2. Account Registration

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your account information.
• Keep your password confidential and notify us of any unauthorized use.
• Be at least 18 years of age to create an account.

You are responsible for all activities that occur under your account.

3. Creator Obligations

If you use Memba as a creator to monetize communities, you agree to:

• Only offer legal content and services that comply with applicable laws.
• Accurately describe what members will receive upon subscribing.
• Respond to member inquiries in a reasonable timeframe.
• Not use the platform for fraudulent, deceptive, or illegal activities.
• Comply with the terms of service of Telegram, WhatsApp, and any other third-party platforms you integrate with.

4. Subscriptions & Billing

Memba facilitates recurring subscription payments between creators and their community members.

• All payment processing is handled by Flutterwave, our third-party payment processor.
• Recurring payments are charged automatically based on the subscription plan selected by the member.
• Members may cancel their subscriptions at any time. Cancellation takes effect at the end of the current billing period.
• Refunds are handled on a case-by-case basis at the creator's discretion, subject to applicable consumer protection laws.

5. Platform Fees

Memba charges a platform fee of 7.5% on all transactions processed through the Service. This fee is collected automatically at the point of payment — creators receive revenue net of this fee.

Payment processor fees charged by Flutterwave are separate and additional. We may update our fee structure with 30 days' prior notice.

6. Member Access

Memba automates member access management via Telegram bots and WhatsApp integrations:

• Members are automatically added to groups upon successful payment.
• Members are automatically removed when their subscription expires or is cancelled.
• Access management depends on proper bot configuration. Memba is not liable for access issues caused by incorrect setup.

7. Intellectual Property

Creators retain full ownership of all content they create and share through the platform. Memba does not claim any intellectual property rights over creator content.

The Memba name, logo, and platform design are the intellectual property of Memba and may not be used without written permission.

8. Limitation of Liability

To the maximum extent permitted by law, Memba shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

• Loss of revenue or anticipated profits.
• Loss of data or business interruption.
• Issues arising from third-party services (Telegram, WhatsApp, Flutterwave).

The Service is provided on an "as is" and "as available" basis without warranties of any kind.

9. Termination

Either party may terminate the relationship at any time:

• You may delete your account at any time through your dashboard settings.
• We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or upon reasonable notice for any reason.

Upon termination, your access to the platform ceases. Any pending payouts will be processed within 30 days of account closure.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on the platform at least 14 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance.
